Upon receipt of full payment, clients own the final deliverables created specifically for them (such as website designs and code). UpEngine retains the right to display completed work in its portfolio unless otherwise agreed in writing. We retain ownership of all pre-existing intellectual property, frameworks, tools, and methodologies used in delivering services.

Payment terms are specified in individual service agreements. Generally: • Project deposits are due before work begins and are non-refundable • Remaining balances are due upon project completion or per milestones defined in the agreement • Overdue payments may result in suspension of services or access to deliverables

Our website and services are provided on an "as is" and "as available" basis. UpEngine makes no warranties, expressed or implied, regarding the accuracy, completeness, or suitability of any content or services. We do not guarantee specific rankings, traffic levels, or business outcomes from SEO or digital marketing services. Results vary based on many factors outside our control.

To the maximum extent permitted by law, UpEngine shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these terms or our services shall not exceed the amount you paid us in the three months preceding the claim.

Either party may terminate a service agreement with written notice as specified in the individual agreement. UpEngine reserves the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
